Partner terms of service.

These Partner Terms of Service (“Terms”) govern your use of the Zentility, Inc. (“Zentility”, “we”, “us”, or “our”) proprietary software platform (the “Platform”) to connect end-users with competitive energy rates. By accessing or using the Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Platform, you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

2. Description of Services

The Platform is a tool that allows you to, among other things, (a) access and review energy rates from various suppliers; (b) submit customer information to generate energy supply agreements; and (c) manage customer accounts and agreements.

3. Registration and Account

To access the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4. Use of the Platform

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You are responsible for all activities that occur under your account.

5. Intellectual Property

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Zentility, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6. Data Rights

You grant Zentility a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display any data you submit to the Platform for the purpose of providing the services.

7. Rules of Conduct

You agree not to use the Platform to: (a) violate any local, state, national, or international law; (b) stalk, harass, or harm another individual; (c) collect or store personal data about other users without their express consent; (d) impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity; or (e) interfere with or disrupt the services or servers or networks connected to the services, or disobey any requirements, procedures, policies, or regulations of networks connected to the services.

8. Confidentiality

You agree to keep confidential all non-public information that Zentility provides to you in connection with your use of the Platform.

9. Electronic Disclosures

You consent to receive all disclosures, notices, and other communications from Zentility electronically.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Partner Representations and Indemnity

You represent and warrant that you have all necessary rights and authority to enter into these Terms and to grant the rights granted herein. You agree to indemnify, defend, and hold harmless Zentility, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from your (or anyone using your account’s) violation of these Terms.

12. Miscellaneous

These Terms constitute the entire agreement between you and Zentility concerning your use of the Platform. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
